3. Client Engagement
Our consulting services are provided on a project or retainer basis as agreed upon in writing. You agree to:
- Provide accurate and complete information necessary for us to perform our services
- Respond to requests for information in a timely manner
- Grant necessary access to accounts, platforms, and data as required
- Maintain confidentiality of any proprietary methodologies shared during our engagement
4. Acceptable Use
You agree not to:
- Use our Services for any illegal or unauthorized purpose
- Violate any laws, regulations, or third-party rights
- Misrepresent your identity or the nature of your business
- Copy, modify, or distribute our proprietary materials without permission
- Disclose confidential information shared during our engagement
5. Intellectual Property
All content, methodologies, frameworks, and materials developed by Fuji Lane remain the property of Fuji Lane unless explicitly transferred in writing. Deliverables created specifically for your engagement become your property upon full payment.
We reserve the right to use generalized learnings and anonymized case studies from our engagements for marketing and educational purposes.
6. Payment and Fees
Payment terms are specified in your service agreement. You agree to:
- Pay all applicable fees as described in your service agreement
- Provide accurate and complete billing information
- Pay all taxes associated with the Services
- Pay invoices within the agreed-upon timeframe (typically Net 15 or Net 30)
We reserve the right to pause or terminate services for overdue payments.
7. Results Disclaimer
While we strive to deliver measurable results, marketing and consulting outcomes are influenced by many factors beyond our control. We do not guarantee specific results, revenue increases, or ROI. Past performance is not indicative of future results.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUJI LANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Termination
Either party may terminate the engagement with written notice as specified in the service agreement. Upon termination:
- All outstanding fees for work completed become immediately due
- We will transfer any deliverables completed to that point
- Access to any shared accounts or platforms will be returned to you
- Confidentiality obligations survive termination
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Travis County, Texas.
11. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date.
